Terms of Service
Please read these Terms of Service ("Terms") carefully before using the Ramzi Solutions platform available at ramzi.ae (the "Service"), operated by Ramzi Solutions ("Ramzi", "we", "us", or "our").
By accessing or using the Service you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. The Service
Ramzi provides a software-as-a-service platform that allows food and beverage businesses ("Merchants") to publish a branded digital menu, receive and manage customer orders, dispatch deliveries, and send automated WhatsApp notifications to their customers — all for a flat monthly subscription fee with no commission on orders.
2. Eligibility
You must be at least 18 years old and legally authorised to operate a food business in the UAE (or your applicable jurisdiction) to use the Service. By creating an account you confirm that this is true.
3. Account Registration
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@ramzi.ae if you suspect unauthorised access.
4. Subscription and Billing
- The Service is billed monthly at AED 250 per month, charged at the end of each billing period.
- There is no setup fee and no minimum contract term.
- We never charge a commission or percentage on your orders — the flat monthly fee is the only charge we collect.
- Payments are processed by our third-party payment provider. We do not store your full card details.
- If a payment fails, we will notify you. Access to the Service may be suspended after a reasonable grace period if the outstanding amount is not settled.
- All fees are stated inclusive of UAE VAT where applicable. Invoices will reflect the applicable VAT amount.
5. Cancellation
You may cancel your subscription at any time from your account settings or by contacting hello@ramzi.ae. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months already paid.
We may suspend or terminate your account immediately if you breach these Terms, fail to pay outstanding fees after notice, or engage in conduct that may harm Ramzi or other users.
6. Your Responsibilities as a Merchant
- You are solely responsible for the accuracy, legality, and quality of your menu content and the orders you fulfil.
- You must comply with all applicable UAE food safety, health, and licensing regulations.
- You must obtain any necessary consents before sending WhatsApp messages to your customers through the Service.
- You must not use the Service to sell prohibited, counterfeit, or illegal goods or services.
- You are the data controller for your customers' personal data collected through your Ramzi menu. You must handle that data in accordance with applicable privacy laws.
7. Acceptable Use
You agree not to:
- Use the Service in any way that violates UAE law or regulations
- Attempt to gain unauthorised access to Ramzi's systems or another user's account
- Use the Service to transmit spam, malware, or other harmful content
- Reverse-engineer, decompile, or copy any part of the platform
- Resell or sublicense the Service without our written permission
8. Intellectual Property
Ramzi retains all intellectual property rights in the platform, including its software, design, and branding. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your business during the term of your subscription.
You retain ownership of all content you upload (menu items, photos, descriptions). By uploading content you grant Ramzi a limited licence to display and process it solely for the purpose of operating the Service for you.
9. WhatsApp Integration
Order notifications and status updates are delivered via the WhatsApp Business Platform. Availability of these features depends on WhatsApp's own terms of service and infrastructure. Ramzi is not responsible for delays or failures caused by WhatsApp's platform.
10. Uptime and Support
We aim to keep the Service available and operational at all times but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. Support is available via WhatsApp and email at hello@ramzi.ae.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by UAE law, Ramzi disclaims all warranties, including fitness for a particular purpose and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Ramzi's total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the fees you paid us in the 3 months preceding the claim. We shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or loss of data.
13. Indemnification
You agree to indemnify and hold harmless Ramzi Solutions, its directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your menu content, your customers' orders, or your breach of these Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the United Arab Emirates. Any dispute arising from or related to these Terms shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be submitted to the competent courts of the UAE.
15. Changes to These Terms
We may update these Terms at any time. We will post the updated version at ramzi.ae/terms-of-service and update the "Last updated" date above. For material changes we will notify you by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance.
